Aratas Corporation Launches under a New Management Structure

OMRON’s Electronic Components Business Begins a New Chapter as Aratas Corporation following the acquisition by Carlyle

Aratas Corporation (Head Office: Shimogyo-ku, Kyoto; President and CEO: Masahiko Ezaki; hereinafter "Aratas") today became independent from the OMRON Group following the transfer of Aratas shares held by OMRON Corporation (Head Office: Shimogyo-ku, Kyoto; President and CEO: Junta Tsujinaga) to Carlyle. With this transition, Aratas begins a new chapter under its new management structure. While OMRON will retain a minority equity stake in Aratas, the Company will accelerate its growth initiatives through a strategic partnership with Carlyle.

When Aratas was established in July 2026, the Company adopted the name “Aratas,” inspired by the Japanese words for “New” and “Tomorrow”. The name reflects our strong aspiration, as a global company originating from Japan, to create new value and help shape the future together with customers around the world.
At the same time, Aratas defined its Mission as “We harness innovative connections between people and technology to create a new tomorrow.”
This Mission reflects our commitment to leveraging the technologies and expertise we have cultivated over many years to actively take on new challenges, unlock future possibilities for people, our customers, and society, and create a new tomorrow.
To bring this Mission to life, we established three core Values that are deeply embedded in our culture and serve as guiding principles for every employee:

These three Values also reflect the three “A”s within the name Aratas. Together, the collective actions of employees who embody these Values shape the Aratas brand and drive the realization of our Mission.

As part of our transition to an independent company, we revisited our business strategy and identified the following five strategic pillars that will drive the future growth of the Aratas Group:

3.Enhancing Global Manufacturing and Supply Capabilities
4.Exploring Medium- to Long-Term Growth Opportunities
5.Management and Organizational Transformation

Prior to its independence from the OMRON Group, Aratas had already begun implementing initiatives aligned with its strategic pillars.
In June 2026, under the pillar of strengthening global manufacturing and supply capabilities, we decided to relocate and expand our Malaysia factory and approved investments to support the upcoming construction. In July 2026, under the pillar of management and organizational transformation, we established five vertically integrated Business Divisions: Diversified Application Products, Application Module, Mobility, Industrial Business, and Strategic Industries - each responsible for development, manufacturing, and sales. This structure is designed to accelerate strategy execution, strengthen our focus on growth markets, and expand order intake. In particular, we have already begun enhancing our development capabilities in growth markets.
In the industrial automation sector, while continuing to collaborate with OMRON, we established the Industrial Business Division and created a framework that enables the Division to proactively pursue business expansion alongside the other Business Divisions.

Going forward, Aratas will focus on growing markets such as energy management, mobility, digital infrastructure, and smart automation, working together with customers to help address social challenges. Through these initiatives, we will pursue further growth. While our disclosed net sales have historically excluded sales to the OMRON Group, going forward we will seek to expand our business based on approximately JPY 160 billion in net sales, including sales to OMRON in fiscal 2025.
To support our continued growth, we will continue investing for the future, strengthen our existing businesses and key growth markets, and pursue new growth opportunities. Building on these initiatives, we will expand our customer base, enhance cost competitiveness, and drive agile management as we strive to become an excellent company in the rapidly evolving electronic components industry.
